Terms of Service

The Service produces informational summaries and pattern-matching analyses of music industry contracts. Outputs are not legal advice, are not a substitute for the advice of a licensed attorney, and do not create an attorney-client relationship. Before relying on any output to sign, decline, or modify a contract, consult a licensed attorney admitted in your jurisdiction. The Service is designed to make your conversation with an attorney more efficient — not to replace one.

1. Acceptance of these terms

These Terms of Service ("Terms") form a legal agreement between you and ReadMyDeal ("ReadMyDeal," "we," "us"). By accessing or using readmydeal.com or any related service (the "Service"), you agree to be bound by these Terms. If you don't agree, don't use the Service.

You must be at least 18 years old to use the Service. By using it, you represent that you are.

2. What ReadMyDeal does

ReadMyDeal is an information service. You upload a music industry contract (such as a recording agreement, producer split sheet, work-for-hire agreement, or distribution agreement) and the Service uses artificial intelligence to produce:

  • A plain-English summary of the contract.
  • A "red flag report" identifying clauses that are commonly negotiated, unusual, or potentially disadvantageous.
  • A clause-by-clause breakdown with industry context.
  • A negotiation memo with general suggestions for points you may wish to discuss with a licensed attorney.

These outputs are informational. They are not, and are not intended to be, legal advice or a substitute for the advice of a licensed attorney. See §3.

3. Not legal advice; no attorney-client relationship

ReadMyDeal is not a law firm. We do not provide legal advice. Using the Service does not create an attorney-client relationship between you and ReadMyDeal, its operators, or any attorney who may have reviewed or contributed to the Service's analytical framework.

Outputs generated by the Service are general informational summaries based on patterns in music industry contracts. They are not tailored legal advice for your specific situation. Many factors that materially affect a contract — such as your leverage, your goals, your other agreements, your jurisdiction, recent case law, ongoing relationships, and material non-public information — are not visible to the Service.

Before signing, declining, modifying, or relying on any contract, you should consult a licensed attorney admitted in the relevant jurisdiction. The Service is intended to help you have a more informed conversation with your attorney — not to replace one.

4. Accuracy and AI limitations

The Service uses artificial intelligence. AI is powerful but imperfect. Outputs may contain errors, omissions, or misinterpretations. Important clauses may be missed. Industry context may be incorrect or out of date. The Service may produce different outputs for the same contract on different runs.

You should not rely on any single output as a complete or correct read of a contract. You are responsible for verifying every output, particularly before making any decision with legal or financial consequences.

5. Access to the Service

During the free beta, access requires a valid email address rather than an account. You agree to provide a real email address you control. (The following applies when accounts launch:) You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account, and you agree to notify us immediately of any unauthorized use.

6. Acceptable use

You agree not to:

  • Upload contracts you do not have a legitimate right to access (e.g., contracts obtained through theft, breach of NDA, or unauthorized disclosure).
  • Use the Service to violate any law or third-party right.
  • Attempt to reverse-engineer, decompile, or scrape the Service or its outputs at scale.
  • Use the Service to provide legal services or legal advice to third parties (you may use the Service for your own contracts and your own clients with appropriate disclosures, but you may not redistribute or resell the outputs as a legal service).
  • Interfere with or disrupt the Service, including by overloading our infrastructure.
  • Use the Service to train any other AI or machine learning model.

We may suspend or terminate accounts that violate these rules, with or without notice.

7. Your content

You retain all ownership rights in the contracts and other material you upload to the Service ("Your Content"). You grant us a limited, non-exclusive, revocable license to process Your Content solely as necessary to provide the Service to you (including by transmitting it to AI inference providers for analysis). We do not store Your Content after your analysis is returned, do not claim ownership of it, do not use it to train AI models, and do not share it with third parties except as described in our Privacy Policy.

You also grant us the right to create and use de-identified, aggregated data derived from use of the Service — for example, statistics about how often certain clause types appear across all analyzed contracts — to operate, improve, and promote the Service, including producing industry benchmarks and insights. De-identified aggregated data never includes, identifies, or could reasonably be used to identify you, your counterparties, or any specific contract, and is handled as described in our Privacy Policy.

8. Our content

The Service itself — including the analytical framework, red flag taxonomy, software, design, and brand — is owned by ReadMyDeal and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your own personal or internal business purposes in accordance with these Terms. Outputs generated specifically about Your Content are yours to use; the underlying framework is not.

9. Pricing, billing, and refunds

The Service is currently free while in beta, subject to fair-use limits (currently 3 analyses per day) that we may adjust. (The following applies when paid plans launch:) Pricing will be shown on the Service and may change with reasonable notice. By purchasing a paid plan, you authorize us (through a payment processor) to charge your payment method.

  • Single Contract (one-time purchase): Refundable within 7 days of purchase if you are not satisfied with the analysis. Contact us to request a refund.
  • Pro (monthly subscription): Billed monthly, cancel any time. Cancellation takes effect at the end of the current billing period; we do not pro-rate partial months.

Taxes (if applicable) are your responsibility.

10. Disclaimers

The Service is provided "as is" and "as available," without warranty of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Service will be uninterrupted or error-free.

Without limiting the foregoing, ReadMyDeal makes no warranty that the Service's outputs are accurate, complete, current, or suitable for any particular purpose, and explicitly disclaims any warranty that the outputs constitute legal advice or a complete legal review.

11. Limitation of liability

To the maximum extent permitted by applicable law, ReadMyDeal and its operators, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to your use of the Service — even if we have been advised of the possibility of such damages.

Our aggregate liability to you for any and all claims related to the Service will not exceed the greater of (a) the amount you paid to ReadMyDeal in the 12 months before the claim arose, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless ReadMyDeal and its operators from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Service in violation of these Terms, (b) your violation of any third-party right (including intellectual property and confidentiality rights), or (c) any decision you make in reliance on a Service output.

13. Termination

You may terminate your account at any time. We may suspend or terminate your access to the Service if you breach these Terms or if we reasonably believe your use poses a security, legal, or operational risk. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive.

14. Governing law and dispute resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Any disputes will be resolved in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction there.

15. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or in-product notice before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

16. Miscellaneous

These Terms (together with the Privacy Policy and any other policies referenced in them) are the entire agreement between you and ReadMyDeal regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our written consent; we may assign them to a successor in connection with a merger, acquisition, or sale of assets.
